Setting up an export wholesale company in France

I am working as an AE for scientific consulting/medical writing.

I have some plans for additional activities completely different from AE activity. I have a partner not French financial resident who will be an investor.

Specifically, the idea is to set up an export wholesale company in EU which:

  • Sells health/beauty products (produced in Israel) to non-EU country (but located in Europe).
  • These products will never enter the territory of France and go directly to the target country via air transport.
  • Have 2 business partners – myself and non-EU resident (not living in France).
  • We will not be taking monthly income and can wait for the dividends.
  • I will be working from home based office in France (not my property but a rented apartment) and my partner will visit France from time to time.
  • Both invest 50/50 in the company.
  • Both invest 50/50 in the first order of the products (approx. 10 000 EUR).
  • We are not expecting this Company to be very profitable during the first years of business as the products are new on the target market and require investments in promotion.
  • My auto-entrepreneur activity will give me stable income with min social security charges (approx. 23%).

I read your recommendations and think about SARL

As you already mentioned to others, the set up cost is appr 2200EUR plus yearly accountancy fees appr 2000EUR.

As I will not be taking any salary and my partner is not French resident, do we need to pay social security charges at all? I will be paying them as an AE nevertheless. Will it be confusing for the agencies? There is an option that my husband can be a business partner instead of me. He is on CDI contract in France and not registered with any business.

Non- French resident and financial resident of another country - will he be able to charge SARL in France for travel expenses and promotional activities in the target market (if money are taken from the prof account in France).

SARL with the activity of wholesale export – does it need to have a special license if the products do not enter the French territory?

To what extent setting up of this kind of business will be complicated in France ( timelines, legal involvements, closing the company when we leave France, etc)
We are looking at different options in Europe and consider France as one of them as my husband and will be are living here (for 3-5 years, may be more) and are French financial residents.
